Terms of Service

Please read these Terms of Service (“Terms”) carefully before using the Borrow My Watts platform. By creating an account or accessing our services, you agree to be bound by these Terms. If you do not agree, do not use the platform.

1. Definitions

  • “Platform” means the Borrow My Watts website (borrowmywatts.com), web application (dev.borrowmywatts.com), and any associated mobile applications.
  • “Company”, “we”, “us” means Borrow My Watts Inc., an Ontario corporation.
  • “User” means any individual who creates an account on the Platform.
  • “Driver” means a User who books EV charging sessions at Host locations.
  • “Host” means a User who lists a residential EV charger for use by Drivers.
  • “Session” means a single EV charging event between a Driver and a Host charger.
  • “Installation” means the professional installation of an EV charger at a Host's property under the Host + Install subscription plan.
  • “ESA” means the Electrical Safety Authority, a not-for-profit corporation authorized under Ontario's Electricity Act, 1998.

2. Eligibility

You must be at least 18 years of age and a resident of Canada to use the Platform. By registering, you represent and warrant that:

  • You have the legal capacity to enter into binding contracts under applicable law.
  • You will provide accurate, current, and complete information during registration and keep it updated.
  • You are not prohibited from using the services under any applicable law.
  • Hosts additionally warrant that they have the legal right (ownership or appropriate tenancy permission) to install and operate a charger at the listed property.

3. Platform Role — We Are a Marketplace

Borrow My Watts operates as a peer-to-peer marketplace. We facilitate connections between Hosts and Drivers. We are not a party to the charging transaction itself.

Accordingly:

  • We do not own, operate, inspect, or guarantee any charger listed on the Platform.
  • We do not guarantee that any specific charger will be available, functional, or compatible with your vehicle.
  • The Host is solely responsible for the condition, safety, and legality of their charger and property access.
  • We are not responsible for property damage, vehicle damage, or personal injury arising from a Session, except to the extent caused by our direct negligence.

We provide supplemental liability coverage as described in the Host Agreement (Section 5) to partially mitigate certain risks.

4. Driver Terms

Booking and Sessions

Drivers may search, book, and pay for charging sessions through the Platform. Bookings constitute a direct agreement between the Driver and the Host.

Drivers must: arrive within the booked time window; depart promptly when their session ends; leave the charger, cable, and surrounding area in the condition found; and not use the charger for any purpose other than EV charging.

Payments

Drivers pay via Stripe at the time of booking. A pre-authorization hold may be placed on your payment method. You are charged only for energy actually delivered (kWh) at the rate set by the Host, plus applicable HST. Borrow My Watts does not charge Drivers any platform or marketplace fee.

Energy metering data from the charger is the authoritative source for billing. Minor discrepancies (± 5%) are within normal range and not grounds for dispute.

Cancellation

Cancellations made more than 1 hour before the scheduled session start are eligible for a full refund. Cancellations within 1 hour of the session start are non-refundable. During the current beta period, we may offer more flexible refund terms at our discretion.

5. Host Agreement

Listing Requirements

Hosts must ensure their listed charger is: functional and electrically safe; lawfully installed in compliance with applicable electrical codes; accessible to Drivers as described in the listing; and covered by the Host's own home insurance or an appropriate endorsement.

Hosts are solely responsible for obtaining any landlord consent, strata/condo board approval, or municipal permits required to operate a peer-to-peer charging service at their property.

Subscriptions

Host plans are billed monthly to the payment method on file through our payment gateway. Subscriptions renew automatically each month until cancelled. You may cancel your subscription at any time through the Platform; cancellation takes effect at the end of the current billing period.

Available plans as of the effective date:

  • Host Basic: $9.99/month + HST
  • Host + Install: $19.99/month + HST (see Section 6 for Installation Terms)

Earnings and Payouts

Borrow My Watts does not take a percentage cut of Host session earnings. Hosts receive their full session earnings, less standard payment gateway processing fees. Payouts are processed weekly (Monday–Sunday cycle) and deposited to your connected bank account on the following Monday.

We reserve the right to withhold payouts pending investigation of suspected fraud, chargebacks, or Terms violations. Minimum payout threshold is $1.00 CAD.

Host Conduct

Hosts must not cancel confirmed bookings without reasonable cause. Repeated unilateral cancellations may result in account suspension. Hosts must not discriminate against Drivers on the basis of any protected ground under the Ontario Human Rights Code or applicable Canadian law.

Insurance

We provide a supplemental liability protection plan for Hosts covering bodily injury or property damage arising from a Session, up to limits specified in your Host plan documentation. This supplemental coverage does not replace your home insurance. We strongly recommend informing your home insurer of your participation in the peer-to-peer network and obtaining any required endorsement.

6. Installation Terms (Host + Install Plan)

Important — Read Before Subscribing to Host + Install

This section governs the professional EV charger installation service provided under the $19.99/month Host + Install plan. By subscribing to this plan, you agree to these Installation Terms in addition to all other Terms of Service.

6.1 Scope of Installation Service

The Host + Install plan includes the following installation services at the Subscriber's residential property:

  • Assessment of the electrical panel and installation site by a licensed electrician.
  • Labour and standard materials required to mount and wire a Level 2 EV charger (240V, NEMA 14-50 or hardwired).
  • Filing for any required electrical permit with the applicable authority having jurisdiction (AHJ).
  • Inspection and issuance of an Electrical Safety Authority (ESA) certificate of inspection.

The EV charger unit itself is not included. The Subscriber is responsible for purchasing the charger. Borrow My Watts will provide guidance on compatible, recommended models. The charger must be compatible with standard Level 2 installation.

6.2 Installer Qualifications

All installations are performed by, or directly supervised by, an ESA-licensed electrician holding a valid Ontario Electrical Contractor licence (or the equivalent licence in the applicable province). Installation work complies with the Canadian Electrical Code (CEC) and applicable local amendments.

An ESA Certificate of Inspection is issued in the Subscriber's name following successful inspection. This certificate is provided digitally via email within 10 business days of inspection.

6.3 Installation Fee and Payment

The total installation fee is $500.00 CAD + HST ($565.00 CAD total). This fee is amortized across monthly Host + Install subscription payments as follows:

  • $10.00 of each $19.99 monthly payment is applied to the installation cost.
  • The remaining $9.99 is the ongoing Host Basic plan fee.
  • The installation cost is fully recovered after 50 months of continuous subscription.

The installation fee does not include non-standard materials (conduit runs exceeding 10 metres, panel upgrades, or sub-panel installation). Any such additional work will be quoted separately and requires your written approval before proceeding.

6.4 Early Cancellation — Outstanding Installation Balance

Early Cancellation Obligation

If you cancel the Host + Install subscription before the full $500.00 CAD installation cost has been recovered through monthly payments, the outstanding unpaid installation balance becomes immediately due and payable at the time of cancellation.

The outstanding balance is calculated as:

Outstanding Balance = $500.00 − ($10.00 × months subscribed)

Example: Cancelling after 6 months results in a $440.00 CAD balance due immediately ($500 − $60).

The outstanding balance (+ applicable HST) will be charged to the payment method on file at the time of cancellation. If the charge fails, it becomes a debt owed to Borrow My Watts Inc. and may be referred to a collections agency.

6.5 Ownership of Installation

The installed charger and all related electrical work (wiring, conduit, mounting hardware) are the sole property of the Subscriber upon installation, regardless of subscription status. Cancelling the subscription does not affect your ownership of the physical installation.

6.6 Scheduling and Property Access

The Subscriber must provide reasonable access to their property for the installation appointment. If the Subscriber fails to provide access on two or more scheduled appointments without 48 hours' prior notice, we reserve the right to charge a $75.00 CAD no-show fee per missed appointment, and the installation timeline will be rescheduled at our discretion.

6.7 Warranties and Limitations

Borrow My Watts warrants that installation work will be performed in a professional, workmanlike manner by qualified tradespeople. If a defect in our workmanship is identified within 12 months of installation, we will remedy it at no additional charge.

This warranty does not cover: damage caused by misuse, modification, or acts of God; charger hardware defects (covered by the manufacturer's warranty); or electrical issues arising from the Subscriber's property wiring not related to our work.

7. Payments and Fees

All amounts are in Canadian dollars (CAD). HST (13%) is applied to all fees paid to Borrow My Watts Inc. where applicable under the Excise Tax Act.

Payment processing is handled exclusively by Stripe, Inc. By using our payment features, you also agree to Stripe’s terms of service. Borrow My Watts does not store payment card data.

We reserve the right to adjust pricing with 30 days' written notice to active subscribers. Continued use after the notice period constitutes acceptance of the new pricing.

8. Acceptable Use

You agree not to:

  • Use the Platform for any unlawful purpose or in violation of any applicable law.
  • Provide false information, create fake accounts, or impersonate others.
  • Attempt to bypass, disable, or circumvent the Platform’s security or payment systems.
  • Use automated tools to scrape, crawl, or extract data from the Platform without our written permission.
  • Post defamatory, harassing, or discriminatory content in reviews, messages, or profile information.
  • Use a Host charger for any commercial fleet charging operation without our express written consent.
  • Sublease or re-sell charger access obtained through the Platform.

Violations may result in immediate account suspension and, where applicable, legal action.

9. Limitation of Liability and Disclaimers

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BORROW MY WATTS INC. SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages.
  • Loss of profits, revenue, data, goodwill, or business opportunities.
  • Damage to vehicles, property, or personal injury arising from Sessions, except to the extent directly caused by our gross negligence or willful misconduct.
  • Interruptions, outages, or errors in the Platform.
  • The acts or omissions of Hosts, Drivers, or third-party installers.

Our total aggregate liability to you for any claim arising under these Terms shall not exceed the greater of: (a) the amounts you paid to us in the 12 months preceding the claim; or (b) $500.00 CAD.

Some jurisdictions do not permit the exclusion or limitation of certain warranties or damages. In such cases, the above limitations apply to the fullest extent permitted by law.

10. Dispute Resolution

We encourage you to contact us first at support@borrowmywatts.com to resolve any dispute informally. We will make good-faith efforts to resolve most issues within 10 business days.

If informal resolution fails, disputes arising from or relating to these Terms or the Platform shall be resolved by binding arbitration under the Arbitration Act, 1991 (Ontario), administered by a mutually agreed arbitrator in Toronto, Ontario. The arbitral award shall be final and binding and may be entered in any court of competent jurisdiction.

Notwithstanding the above, either party may seek emergency injunctive relief from a court of competent jurisdiction. You also retain the right to file a complaint with applicable consumer protection authorities.

Class action waivers: You agree to resolve disputes individually and not as part of any class action or representative proceeding, to the extent permitted by law.

11. Termination

You may close your account at any time through Settings → Delete Account (or by contacting support). Upon account closure:

  • Outstanding Host earnings will be paid out in the next regular payout cycle.
  • Pending Driver bookings will be cancelled and refunded.
  • If you are on the Host + Install plan, the early cancellation balance provisions in Section 6.4 apply.
  • Personal data will be retained only as required by law (see Privacy Policy).

We may suspend or terminate your account for material breach of these Terms, fraudulent activity, or conduct that harms other users or the Platform, with notice where practicable. In cases of fraud or safety risk, suspension may be immediate.

12. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Subject to the arbitration clause in Section 10, you agree to the exclusive jurisdiction of the courts of Ontario for any matters not subject to arbitration.

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in full force and effect.

13. Changes to These Terms

We may update these Terms at any time. Material changes will be communicated via email and/or a prominent notice on the Platform at least 14 days before they take effect. Your continued use of the Platform after the effective date constitutes acceptance of the updated Terms.
